Terms of Service

Important: AuditShield is a compliance review and monitoring service. It is not a law firm. Immigration advice is provided separately by Roman Tabassum where formally instructed. AuditShield does not guarantee any Home Office outcome.

About these terms

These terms govern your use of AuditShield services provided by AuditShield Limited (Company No. 17227437), including the client portal, mock audit services, compliance monitoring and any other services described in your service agreement or engagement letter. By engaging AuditShield services, you agree to these terms. If you do not agree, do not use our services.

What AuditShield provides

AuditShield provides: • Sponsor licence compliance review and mock audit services • Structured assessment of sponsor duties, worker files, HR records and SMS reporting • Written reports identifying compliance risks and recommended action • Ongoing compliance monitoring and dashboard access • Compliance tools, checklists and educational resources Where regulated immigration advice is required, it is provided separately by Roman Tabassum where formally instructed, not by AuditShield Limited as a company.

What AuditShield does not provide

AuditShield is not a law firm and does not provide legal advice. AuditShield does not: • Guarantee any Home Office or UKVI outcome • Guarantee that your sponsor licence will not be suspended, downgraded or revoked • Represent you in legal proceedings • Prepare, file or submit any application to the Home Office on your behalf unless separately agreed in writing • Prepare false, misleading or backdated documents If you require legal representation in enforcement proceedings, you should instruct a solicitor.

Your responsibilities

You are responsible for: • Providing accurate and complete information about your organisation, workers and compliance history • Acting on written recommendations promptly and within stated timeframes • Maintaining your own compliance systems, records and reporting obligations • Notifying AuditShield of any material change to your business, workforce or licence status • Ensuring that documents provided for review are genuine and not altered AuditShield cannot be responsible for compliance failures arising from information withheld, delayed or inaccurately provided.

Fees and payment

Fees are as set out in your engagement letter or the published pricing on the AuditShield website. Invoices are payable within 14 days of the invoice date unless otherwise agreed. AuditShield reserves the right to suspend access to the client portal for unpaid invoices.

Confidentiality

Both parties agree to keep confidential any information received from the other party that is marked as confidential or that is clearly of a confidential nature. AuditShield will not disclose client or worker information to third parties without your consent, except where required by law or our professional obligations.

Liability

To the maximum extent permitted by law: • AuditShield is not liable for any Home Office decision, licence suspension, downgrade, revocation or enforcement action • AuditShield's aggregate liability for any claim arising from services provided shall not exceed the total fees paid in the 12 months prior to the claim • AuditShield is not liable for indirect, consequential or special losses Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.

Termination

Either party may terminate the service agreement with 30 days' written notice. AuditShield may terminate immediately if you provide false information, fail to pay invoices or materially breach these terms. On termination, you remain liable for fees for services already delivered.

Governing law

These terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
